1.1 These Terms of Use ("Terms") govern all access to and use of the OneStop KWC technology platform ("Platform"), including the website at onestopkwc.netlify.app and all associated services and communications. The Platform is operated by OneStop KWC, based in Kitchener-Waterloo, Ontario, Canada.
1.2 For the purposes of these Terms: "User" means any individual or entity accessing the Platform; "Customer" means a User seeking to procure Services; "Service Provider" means an independent contractor offering or performing Services through the Platform; "Content" means all text, graphics, data, software, and other materials available on or through the Platform; and "Services" means the home and residential services offered through the Platform by independent Service Providers.
2.1 OneStop KWC operates exclusively as a technology marketplace that facilitates connections between Customers and independent third-party Service Providers. OneStop KWC does not itself provide, perform, supervise, direct, or control any of the Services listed on the Platform.
2.2 Service Providers are independent contractors and not employees, agents, franchisees, or representatives of OneStop KWC. OneStop KWC exercises no control over the manner in which Service Providers perform their work and provides no warranty as to their qualifications, conduct, or performance.
2.3 Users expressly acknowledge that OneStop KWC's liability is strictly limited to its role as a technology platform and that all Services are performed by independent third parties at the User's risk.
3.1 To access or use the Platform, Users must: (a) be at least 18 years of age; (b) have the full legal capacity to enter into binding contracts under Ontario law; (c) use the Platform exclusively for lawful purposes; and (d) provide only accurate, complete, and current information.
4.1 Users are solely responsible for maintaining the confidentiality of their account credentials and for all activity occurring under their account, whether or not authorized by the User.
4.2 Users must notify OneStop KWC immediately upon becoming aware of any unauthorized access to or use of their account.
5.1 Users agree to use the Platform solely for its intended purpose and in full compliance with all applicable laws and regulations.
5.2 The following conduct is strictly prohibited: (a) providing false, misleading, or fraudulent information; (b) soliciting Service Providers or Customers outside the Platform to circumvent Platform fees or booking procedures; (c) interfering with, disrupting, or compromising the integrity or security of the Platform; (d) engaging in harassment, abuse, threats, or discrimination toward any User; (e) attempting to reverse engineer, copy, scrape, or replicate any portion of the Platform; and (f) using the Platform for any unlawful, harmful, fraudulent, or deceptive purpose.
6.1 All service fees are disclosed and confirmed prior to Booking. By confirming a Booking, the Customer agrees to pay the full confirmed fee.
6.2 All fees are denominated in Canadian dollars and are inclusive of applicable taxes unless expressly stated otherwise.
6.3 Payment is processed through secure third-party payment processors. OneStop KWC does not store complete payment card details.
7.1 All Content on the Platform is the exclusive property of OneStop KWC or its licensors and is protected by applicable Canadian intellectual property laws.
7.2 Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purpose.
8.1 The Platform is provided on an "as is" and "as available" basis. OneStop KWC expressly disclaims all representations, warranties, conditions, and guarantees of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
9.1 To the fullest extent permitted by applicable Ontario law, OneStop KWC shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages of any nature whatsoever.
9.2 OneStop KWC shall not be liable for any personal injury, property damage, or financial loss arising from Services performed by Service Providers.
9.3 OneStop KWC's maximum aggregate liability to any User shall not exceed the total fees paid by that User for the specific Booking giving rise to the claim.
10.1 Each User agrees to indemnify, defend, and hold harmless OneStop KWC from and against any and all claims, actions, liabilities, damages, losses, and expenses arising out of the User's use of the Platform, any breach of these Terms, or any violation of applicable law or the rights of any third party.
11.1 These Terms are governed by the laws of the Province of Ontario and applicable federal Canadian law.
11.2 Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
12.1 OneStop KWC reserves the right to amend these Terms at any time. Continued use of the Platform following the effective date of any amendment constitutes acceptance of the revised Terms.
12.2 If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
